Terms and Conditions for Service
In accordance with these service terms and conditions, or “These Terms,”
(a) ‘Company,’ ‘My Home Assist,’ ‘Us,’ or ‘We’ all refer to Pixabit Infotech.
(b) In this context, “you” or “customer” refers to either you or your representatives.
(c) The services you select in the Subscription and Payment Details section of the Order Form, as detailed in Clause 1 (Services) below, will be referred to as ‘Services.
(d) The “Subscription Plan” is the billing plan that you select in the Subscription and Payment Details Section of the Order Form, based on the fee that the parties have agreed upon.
(e) The time frame for which you have utilised the Subscription Plan is referred to as the “Subscription Term,” “Term,” or “Subscription Period.”
The services are provided to you in accordance with these terms.
THE SERVICE My HOME ASSIST WILL PROVIDE:
  • By using its proprietary software under the brand name "My Home Assist," as detailed in the Subscription and Payment Detail Section of the Order Form ("Service"), the company provides you with a technological platform that enhances the safety and security of apartment buildings and gated communities.
  • A limited, non-exclusive, non-transferable, and revocable license to use the Company's developed services is granted to the Customer by the Company, subject to this Agreement and in consideration of the payment as more fully detailed in the Subscription and Payment Detail Section of the Order Form. In addition, the customer acknowledges that this agreement does not allow the customer to sublicense, assign, or rent the services to any other business.
  • Only to access the services will the devices be used; they will not be used for any other reason.
  • The maintenance and repair of the devices that we have given the customer is their responsibility and liability for the duration of the term. Following delivery of the device to the customer, you both agree and undertake that the customer will be accountable for the device, be in charge of keeping it secure, and not break or misplace it. It is your responsibility to notify the company as soon as possible if the device malfunctions, is lost, stolen, or is misused by any of your representatives.
  • Should the device have any manufacturing defects throughout the Agreement's duration, the Company will replace it without charging the Customer more. The customer is responsible for paying the replacement cost of the device, which is INR 15,000 (Indian Rupee Eight Thousand Only), immediately in the event that it is lost, damaged, or stolen for any other cause other than a manufacturing error.
  • Additionally, we could make it easier for the devices to get SIM cards. The custody and use of the same will be the customer's responsibility and liability. Should the company offer any such SIM cards, the company will cover the SIM card's monthly fee. By using the device or SIM card on behalf of the customer, you agree that the customer and/or anyone using the device will only use it for the purposes of the services; the company will not be held responsible for using the SIM card for any other purpose than those specified in the device. When the SIM card, mobile number, or device is in your control, the company will not be held responsible for any illegal acts or uses of it. You also agree to hold us harmless from any losses, damages, or claims resulting from misuse, theft, misappropriation, loss, damage, or illegal use. We shall give you commercially reasonable information and facts to help you with any inquiry you may do in the event that the SIM card is used unlawfully
  • It is important for you to understand that third-party service providers facilitate the SIM cards, devices, internet bandwidth, Wi-fi access, and other third-party services. All of these services will be governed by the terms and conditions of those third-party service providers, and we make no claims, assurances, or representations regarding their merchantability, functionality, serviceability, or any other aspect of them.
  • You understand and authorize that, in order for the company to offer its services, you may disclose the personal information of every resident of your apartment complex, gated community, or resident welfare association (collectively, "Residents"), provided that the residents have given their legal approval.
YOUR DUTY AND RESPONSIBILITIES
  • You and any representative, agent, contractor, security guards, employees, or personnel you designate or assign (collectively, "Your Representatives") are not permitted to use Our Service or any portion of it to engage in, assist, support, enable, or cover up any kind of improper, unlawful, prohibited, or objectionable behavior.
  • If Your Representative receives any on-field training or support services, You and/or Your Representatives are responsible for making sure that the Company's assigned training and support personnel are not mistreated or misbehaved with on Your property.
  • In all cases, you will be solely responsible for how you use your online account with the company, whether or not it was done with your express or implicit knowledge or consent.
  • You will be able to access private information, and you will be responsible for any repercussions that may arise from disclosing private or sensitive information, whether on purpose or accidentally. Any illegal or unauthorized use of the aforementioned resident, visitor, or third-party data by you will be your duty and obligation. The Company shall not be held liable in this respect, and You shall indemnify the Company from any claims or damages, whether direct or indirect, resulting from the violation of this duty to safeguard the visitor's or resident's data in accordance with relevant laws.
  • Additionally, you acknowledge and consent to the fact that the Residents will share specific data and information directly on the My Home Assist mobile application as part of the services that the Company renders. When you ask for it, the Company will provide you access to the Resident's data through the Administrative Dashboard. After you have been given access to the resident's data, you are entirely in charge of its storage, security, and usage. You also agree to hold the company harmless from any claims, damages, or liabilities resulting from any misuse, unauthorized disclosure, or access
  • You also understand and consent to our using the aforementioned data and information in accordance with our privacy policy, which is accessible at https://myhomeassist.in/privacypolicy
  • By using the device, SIM card, broadband/Wi-Fi service, or any other ancillaries, services, or accessories that the company provides, you consent to using them only to access the product or service.
  • You will be responsible for any damages or liabilities, including legal fees, that result from you or your representative breaking these terms and conditions to the extent that it can be directly attributed to your actions or inactions, including fraud, deception, cheating, misuse, or misconduct.
TERMS OF PAYMENT AND FEE
  • The charge specified in the Subscription and Payment Details Section of the Order Form must be paid by you in order for the services to be provided ("Fee").
  • The business will send the customer an invoice, and the customer will have seven (7) days from the date of receipt to pay the sums shown on the invoice. If no dispute or disagreement is brought up within five (5) days after receiving the invoice, it will be considered accepted and payable. In the event that the invoice is not paid within the specified time frame, the customer will be responsible for paying 18% yearly interest on any sums determined to be due and payable by the customer as of the payment date.
  • The aforementioned fee is provided to you in accordance with the subscription plan that you have selected with My Home Assist. You are responsible for paying the full fee for the months that you have used the subscription plan, without any deductions or discounts, including the one-time implementation fee, if waived by the company, if you terminate it early for any reason other than a material breach by the company or if the company terminates it for cause before the Subscription Plan expires.
  • If you terminate for a valid reason or the company terminates for convenience, the fee, including any advances you made, will be reimbursed to you by the company on a pro rata basis for the months that were not used.
  • In accordance with relevant laws, the Customer must deduct tax at source at the appropriate rates ("TDS") from any payments made to My Home Assist. The Company will immediately reclaim the amount that the Customer deducted for TDS, along with interest, if the Customer fails to file a TDS Return or if the TDS credit is not shown in 26AS at the end of each quarter of the fiscal year.
  • If you fail to pay the fee for 30 (thirty) days in a row, My Home Assist has the right to suspend the services and/or cancel them at any time.
  • You can change the fees in the following situations: (1) In writing, the customer commits to adjusting the number of devices at a mutually agreed upon rate. (2) My Home Assist has the right to modify the fee on conditions that are mutually agreeable to both parties after one (1) year has passed from the subscription date.
DISCLAIMER
  • As a technological platform, My Home Assist only grants you a limited, non-exclusive, non-transferable, and revocable license to utilize its patented solution for managing different activities in gated communities and facilitating safety and security. Only the uses listed below are permitted for our services; no additional uses are permitted.
  • All services and associated materials offered by My Home Assist are given "AS IS" and "AS AVAILABLE" without any express or implied representations or guarantees, whether established by law or otherwise.
  • To identify, stop, discourage, mitigate, and reveal fraudulent behavior or other suspicious conduct, My Home Assist may, in its sole discretion, implement any mechanism on its platforms (website and mobile application) that it thinks appropriate. The company shall, when appropriate, implement security procedures in accordance with relevant laws and industry standards.
  • For any unplanned or unexpected outage of all or a portion of the services offered to the customer, or for any service disruptions that are outside the control of My Home Assist, the company will not be held responsible. When it becomes commercially reasonable, My Home Assist will try to fix the issue as quickly as possible and notify the customer.
  • Information provided by the customer, its residents, visitors, or your representative is not the responsibility of My Home Assist. Before disclosing any information or data of its residents, visitors, third parties, or persons to the company, the customer is exclusively responsible for securing the necessary consents from them.
  • You understand, accept, and recognize that My Home Assist is only a technological platform and will not be held accountable for any theft, security breach, or other unlawful or suspicious conduct that takes place on the property of the apartment complex, gated community, or RWA.
  • You understand and agree that My Home Assist has no liability whatsoever for the conduct of any employees, visitors, your representatives, agents, subcontractors, security agencies, security service providers, residents, delivery agents, their contractors, or guests on the customer's property
  • If the customer notices any such odd or unlawful activities, they must get in touch with the appropriate law enforcement organizations directly. My Home Assist will cooperate as far as is practically practicable, subject to the limitations imposed by relevant law, should its help be needed in any inquiry
PRIVACY AND CONFIDENTIAL DATA
  • Throughout the duration of the subscription or at any point after, you and your authorized staff or representative agree not to use or divulge to third parties any information about the company's operations, intellectual property, or services or devices that you may encounter or obtain while using any services offered under these terms.
  • The parties acknowledge and agree that residents will be subject to the company's terms and conditions and privacy policy when they register on the My Home Assist application. You understand and agree that all guests and visitors, including delivery agents, service providers, and/or any other vendor or service provider of the Customer or Resident ("Visitor"), shall be bound by the terms and conditions and privacy policy of the Company if their access to the RWA, society, or apartment has been authorized through the My Home Assist application, unless the Customer has granted written approval to the contrary. You acknowledge and consent to My Home Assist expunging all visitor information and data once the time period you choose in the Order Form's Subscription and Payment Detail Section has passed. You are aware that such deletions will be automatically made in My Home Assist's systems, and My Home Assist will not be held accountable for them.
  • The terms and conditions of the company, which are available at https://myhomeassist.in/, shall govern how the company collects and uses any and all information that you and/or your residents/visitors supply to us. If the company makes changes to its privacy policy, you will be informed. In the case that the customer is unhappy with the privacy policy changes, they can ask the company for explanation. You acknowledge and accept that My Home Assist will not be held accountable to you for any processing of the data that My Home Assist provides or receives in connection with this agreement in accordance with its privacy policy and any relevant laws.
THE RIGHTS OF INTELLECTUAL PROPERTY
  • The customer agrees that the company will be the sole and exclusive owner of all intellectual property rights within the software, including but not limited to the source code used to operate the software, technology, and services, as well as all intellectual property rights therein ("Company's Intellectual Property"). These rights include patents, trademarks, service marks, copyrights, and trade secrets. Every title and right to the company's intellectual property will always belong to the company. Under the terms and circumstances of this Agreement, the Customer has only the restricted right to use the Company's intellectual property; no stated or implied ownership rights or title are transferred to the Customer. The customer will not challenge the company's intellectual property in any manner, apply to register a copyright, patent, trademark, or other designation, or take any other action that will result in the company losing its intellectual property or helping someone else do so.
  • Should the Customer abuse, unauthorized use, or infringement of the Company's software or intellectual property give rise to any claim against the Company, the Customer will be responsible for compensating and holding the Company blameless.
  • Any proprietary, copyright, trademark, service mark, or identifying mark of the company that is present in the My Home Assist software, site, or company's intellectual property cannot be removed, altered, or tampered with by the customer.
  • No part of the My Home Assist software or the company's intellectual property may be copied, translated, reverse-engineered, decompiled, disassembled, transferred, or attempted to be transferred or assigned for any reason by the customer. Nor may any part of the software or the company's intellectual property be altered or used in a derivative work.
  • Throughout the duration of this Agreement, each Party may use the other Party's trade names, trademarks, or logos "As is" and only in connection with this Agreement.
LIMITATION AND TERM
  • Unless cancelled in accordance with the requirements of this clause, these terms will remain in effect from the Subscription Start Date and will, at the very least, continue for the duration of the Subscription Plan and renew for concurrent subscription periods, provided that the Subscription Fee as specified above is paid.
  • This engagement may be terminated by any party with thirty (30) days' notice; however, My Home Assist will still be able to collect the subscription fee until the termination date.
  • In the event that the other Party or a representative of the other Party violates any of the terms of this Agreement, either Party may terminate this Agreement with immediate effect, provided that the violation is not remedied within ten (10) business days of the non-breaching Party's notice.
  • If any party violates any relevant laws or experiences insolvency or bankruptcy, the other party may immediately terminate this agreement for substantial violation by giving the other party written notice.
REPERCUSSIONS OF TERMINATION
  • In the event that you terminate for a material reason during the subscription term, or My Home Assist terminates for your convenience, any advance or security deposit you paid will be returned to you for the portion that has not been used, after deducting any amounts that may be owed to you for any services you have used.
  • Following the deduction of the full subscription price for the serviced months, any advance subscription fee paid by You will be reimbursed to You on a pro-rata basis for the unserviced period in the event that You or My Home Assist terminate the Subscription Plan for any reason during its duration. If the customer is unable to provide an advance or deposit, My Home Assist will issue an invoice for the difference between the amount charged to the customer based on the subscription plan they choose and the full price due for the months of service as of the subscription date. The aforementioned sum is due and payable as soon as the invoice is received. Furthermore, if My Home Assist waives the implementation charge, it will be entitled to recoup the entire cost of the fee as well as any additional money owed to you for any services you received from or through My Home Assist.
  • The client must immediately stop using My Home Assist's intellectual property and remove all related software, in whole or in part, from any servers, workstations, computer terminals, data files, and websites. Any money returned to the customer by My Home Assist is contingent upon the return of all confidential information and intellectual property owned by My Home Assist.
  • It has been made clear, therefore, that any information reports that the Customer downloads through My Home Assist's platform throughout the Agreement's duration are not required to be given back to My Home Assist when the Agreement ends or matures.
  • Any personally identifiable information of the residents or visitors that My Home Assist has in its possession must be given to the customer in a CSV format and removed from My Home Assist's servers upon receipt of a formal written request from the customer within 30 (thirty) days of the agreement's termination or expiration date. Should the request not be made within 30 (thirty) days after the Agreement's termination or expiration date, My Home Assist will delete it and will not be required to give the Customer any data. To be clear, visitor data will only be supplied from the date of the last data deletion in accordance with the Order Form's Subscription and Payment Detail Section until the termination or expiration date
MEANT ONLY FOR COMMUNITIES THAT USE MYGATE'S PAYMENT FACILITIES
  • For the benefit of the customer ("Client"), My Home Assist will have the authority to select the payment gateway service provider, banks, or aggregators to accept online payments from end users, residents, or third parties ("Users"). Every financial transaction will include fees or convenience costs that users, residents, and customers must pay. These fees vary depending on the service provider and are subject to alter with or without notice or notification under government regulations. Because payment gateway service providers, banks, and aggregators handle these services, My Home Assist disclaims all liability for unsuccessful transactions, payment delays, and service deficiencies. On behalf of the Customer and/or Resident, My Home Assist shall, nevertheless, offer the assistance required to trace the payments upon request.
  • Following the completion of legitimate requirements periodically established by the issuing banks and the Card Associations, the Payment Gateway service provider will authenticate, authorize, and process the payment instructions provided by the users. The Payment Gateway service provider will then transfer the authorized transaction amount from the user's payment instrument to the nodal or escrow account, if applicable. The client is aware that the Payment Gateway service provider and/or Card Association may refuse to authorize a transaction made by the user for any number of reasons, such as risk management, suspicion of dubious, fraudulent, or illegal transactions, using compromised cards, using cards that have been blacklisted or banned, or in compliance with RBI, facility providers, and/or Card Association rules, guidelines, regulations, etc. as well as any other laws, rules, standards, etc. that are in effect in India
  • The Client additionally understands that the Payment Gateway service provider retains the right, at any time, to restrict or limit the size, quantity, and/or monthly number of transactions as a risk management tool. To be clear, these restrictions or limitations can be put in place for a variety of reasons, such as limiting the number of purchases that can be made on a single, valid card, Net Banking facility, or account in a given time frame, rejecting payments from users who have a history of dubious charges, unusual transaction values, etc. Moreover, as a security precaution, Payment Gateway service providers, aggregators, and banks may, at their sole discretion, block any card number, account number, group of cards, or transactions from any particular blocked or blacklisted customer cards, accounts, devices, geographic locations, or any other risk mitigation measures they choose to implement.
  • The policies of the payment aggregators, payment service providers, issuing banks, and banks, as well as any applicable laws, rules, and regulations, shall govern any chargeback based on a complaint. It is your understanding that My Home Assist will never be held responsible for any chargeback or refund. Any refunds, chargebacks, fines, fees, or levies resulting from using the payment services are entirely the client's responsibility. Additionally, the client gives the company permission to collect, deduct, or set off any sums, charges, or expenses related to the delivery of services under this agreement, including the cost of any refunds or chargebacks. Should the business be unable to recoup such sums from the customer's funds on hand, the customer will be responsible for paying them on an actual basis. In this regard, the decision made by the banks, companies, payment aggregators, or payment service providers, as applicable, will be final and binding.
REPRESENTATION OF GRIEVANCE
  • With regard to the services that the company offers exclusively, the company will supply and be accountable for customer service. The client furthermore consents to get in touch with the business immediately in the event that they have any questions or need any explanations about the services.
  • The customer may contact the designated Account Manager at any time, or they can send an email to info@myhomeassist.in with any complaints they may have regarding the services the company offers.
  • When a service interruption occurs for whatever reason because of a malfunctioning device or SIM card that is not the customer's fault, the company will try to provide a prompt fix after receiving notification from the customer via the aforementioned email. The company will make every effort to provide the customer with reasonable information on the redressal process and, if feasible, the reasons for the delay
  • The Company will notify the Customer if it is unable to address any significant breaches in the Services within 4 (four) hours of the acknowledgement. If the failure continues for more than two (2) business days, the Customer may use the Termination Provision for Cause as stated in Clause 7.3 of this Agreement.
UNIQUE
  • The client understands that throughout the duration of this agreement, each party will be bound by the laws that apply. The Company may amend the Terms/Service/Fee to the extent that any changes in the legislation occur that might impact the Terms/Service. The customer also acknowledges that the company may immediately terminate this arrangement and cease delivering its services if it determines that the customer or your representative is or is not in violation of any applicable laws.
  • The Company retains the right, at any time, to change, amend, remove, suspend, or terminate the Terms and/or Service, either temporarily or permanently, with notice to the Customer for any reason, including but not limited to any suspected illegal use of the Services or any of its components, including but not limited to the Devices, wi-fi, portals, and data, as applicable.
  • You will be notified of any significant modifications or amendments to the services. In accordance with Clause 7.3 of this Agreement, the Customer may request termination for convenience if the change or suspension is unacceptable to them.
  • This agreement, which includes the Order Form with the Customer Details and Subscription and Payment Details Sections, as well as the Standard Terms and Conditions and their Annexures, will be the last written and verbal agreement between the company and the customer.
  • The parties agree that the company will not be held responsible for any loss, delay, or damage that results from events beyond its reasonable control, such as natural or manmade disasters, pandemics, epidemics, uncontrollable technical issues, strikes, acts of terrorism, riots, invasion, theft, robbery, riots, invasion, fire, floods, tsunamis, traffic accidents, and other events beyond the company's control. Additionally, the company will not be held accountable for any special, consequential, or indirect damages that may arise from these events.
  • The laws of India will apply to this agreement. The parties consent to the courts in Bangalore, India having exclusive jurisdiction. The parties agree that the company will not be held responsible for any loss, delay, or damage that results from events beyond its reasonable control, such as natural or man-made disasters, pandemics, epidemics, uncontrollable technical issues, strikes, acts of terrorism, riots, invasion, rioting, hijacking, robbery, riots, invasion, fire, floods, tsunamis, traffic accidents, and any other events beyond the company's control. Additionally, the company will not be held accountable for any special, consequential, or indirect damages that may arise from these events.
  •  The Indian laws shall apply to this agreement.
